Les salariés snt souvent les perdants quand la propriété de leur entreprise change de mains. Ils ne bénéficient presque jamais de la transaction... sauf quand l'entreprise est largement détenue par ses salariés. Commenti sul caso emblematico della New Belgium Brewery, di proprietò dei dipendenti che potrebbero decidere di vendere l’azienda ad un grande gruppo multinazionale. I dipendenti sono quasi sempre sacrificati quando la loro azienda viene venduta, in pratica non ottengono mai nulla dai takeover… a meno che non ci sia un’azionariato dipendenti largamente diffuso. L’esistenza di un ESOP significa che il controvalore della transazione sarà diviso fra i dipendenti, non fra investitori finanziari.
